NEW DAY FILMS TERMS OF USE — DVD LICENSE

Rental or purchase of any New Day Films DVD program is for educational projection and playback for the life of the DVD. New Day Films DVDs are not licensed for screenings in which admission fees are charged, including but not limited to theatrical screenings.

All New Day Films titles are fully protected by U.S. Copyright laws. Purchase, rental or preview of a DVD program does not include or imply the right to sell, rent, loan, sublease or sublicense to others. New Day Films DVDs and previously purchased videos and film prints may not be digitized, altered, transmitted, duplicated or reproduced by any means without prior written authorization from New Day Films. This license specifically excludes any digital or analog transmission or duplication of the program in whole or in part by broadcast, narrowcast, internet, intranet, open-cable, direct broadcast satellite, or other means, or to any off-campus, distance learning, or affiliate site without written permission of New Day Films.  

These Terms and Conditions are governed by the laws of the United States. Any state or federal action arising out of this Agreement shall be brought in New York, or any other state or federal district court having jurisdiction to hear any dispute arising out of this Agreement.

TO AVOID LATE CHARGES, RENTED FILMS, VIDEOS AND DVDS MUST BE POSTMARKED 24 HOURS AFTER SHOW DATE. ALL RETURNS SHOULD BE SHIPPED VIA UPS.

NEW DAY FILMS TERMS OF USE — STREAMING LICENSE

Please read the terms and conditions below  (“Terms of Use”) carefully before proceeding to stream video.  This Agreement licenses video content to you from New Day Films (“Licensor.”) By selecting the Order button, you (“Licensee” or “You”) are confirming that you have read and understand this Agreement and agree to be bound by the terms of this Agreement.  If you do not agree with the terms of this Agreement, do not select the Order button.

1. Definitions

a. Streamed Content: All materials purchased and/or licensed from New Day Films for streaming purposes including, but not limited to, video, audio, graphics, text, images, and interactive media.

b. Authorized Users: Full, part-time or contract faculty; currently-enrolled students; staff; researchers or independent contractors using the content for individual use; casual, "walk-in" on-site Authorized Users customarily granted access to the educational institution and using the content for individual use.

c. Educational Use: Streaming, exhibition or display of Streamed Content in markets including, but not limited to, primary schools, middle schools, high schools, colleges, universities, libraries, museums, hospitals, companies, and nonprofit organizations and individual streaming, exhibition or display of Streamed Content by Authorized Users studying, researching or working through primary schools, middle schools, high schools, colleges, universities, and distance learning programs.

d. Classroom Use: Streaming, exhibition or display of Streamed Content in classrooms or other venues, for audiences of more than one person, conducted without charging admission. In this context, Streamed Content may be exhibited by any means not requiring additional digitization, alteration, duplication or reproduction.

e. Distance Learning: Specific coursework conducted via electronic, digital or other communications network (including Internet and Intranet) by students enrolled for that purpose through the Licensee’s Unified Campus as defined below.

f. License: The electronic or printed paper permission granted to you under these Terms of Use for the purpose of streaming, displaying or exhibiting the Streamed Content to Authorized Users.

g. Unified Campus: A geographically discrete setting which constitutes the principal place of business of the Licensee.

2. Grant of License

a. Subject to the restrictions described below, New Day Films grants Licensee a limited, non-exclusive, revocable license to stream, display and exhibit the Streamed Content for Classroom Use and in other related venues for the Educational Use of Authorized Users.

b. All other rights not expressly granted are reserved by Licensor. Content may not be rented, loaned, sub-leased, re-sold or sub-licensed to others. Content may not be digitized, transferred, altered, duplicated or reproduced by any means except as expressly provided in this license without prior written authorization of New Day Films.

c. This license is expressly conditioned upon receipt of payment by New Day Films of all applicable fees and taxes.

3.  Restrictions

a. Content licensed for Educational Use may only be shared by Authorized Users within a single, geographically Unified Campus. Permission is also granted for Authorized Users of Distance Learning from that campus and Authorized Users at a satellite campus of that Campus, provided that they are served by the same information network as the main campus and bear the same institutional name and affiliation. Sharing of Streamed Content with other institutions, or with users not specifically affiliated with the Unified Campus is not permitted.

b. Institutional streaming licenses for 14-day, 3-year, 5-year and 7-year terms permit all Educational Uses, including Classroom Use.  However a personal viewing license does not permit use of Streamed Content for Classroom Use.

c. Multi-campus K-12 streaming is licensed on a case-by-case basis. Please contact our office to make specific arrangements.

d. Licensee may not make or distribute copies of the Streamed Content, or electronically transfer the Streamed Content from one computer to another or over any other Internet Server or other communications network, except as permitted by these Terms of Use. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Streamed Content to a human-perceivable form. You may not modify, transfer, or create derivative works based on the Streamed Content or any part thereof.

e.  You may not infringe on or violate the intellectual property, privacy, publicity, or other rights of third parties whose work is embodied in the Streamed Content, including the rights of any third parties in any sound recordings, musical compositions, photographs, artwork, literary creations, or other copyrightable works of any kind or nature.

4. Ownership and Copyright

All Content purchased from New Day Films is the property of New Day Films or has been licensed to New Day Films and is protected by international copyright and trademark laws. No right of ownership in Streamed Content is transferred to Licensee under this Agreement.

5. Term

The term of this License Agreement shall be concurrent with the length of the license chosen by the Licensee (i.e. 3-day, 14-day, 5-year, or other agreed-upon term). Upon expiration, non-renewal, or any termination of the license, all Licensee's rights to use the Content shall cease. License period commences at the time the license is purchased.

6. Trademarks

NEW DAY FILMS and its logo belong to New Day Films and all other trademarks on this site are the property of their respective owners.  Except as permitted by applicable law, Licensee is prohibited from using any of the trademarks appearing on this site without express written consent from their respective owners.

7. Governing Law

These Terms of Use are governed by the laws of the United States. Any state or federal action arising out of this Agreement may be brought in New York, or any other state or federal district court having jurisdiction to hear any dispute arising out of this Agreement.

8. Miscellaneous

a. New Day Films reserves the right to refuse service and terminate accounts at its sole discretion, for cause, including, but not limited to, if it reasonably believes Licensee's conduct violates applicable law or is harmful to Licensor or its partners and affiliates.

b. Licensor's rights, including but not limited to all rights of remedy for Licensee's breach, shall survive the termination of this Agreement.

c. Licensor reserves the right to change, modify, add, or remove portions of these Terms of Use or this service or the policies incorporated herein by reference upon notice to Licensee.  Any revisions to this Agreement that materially affect Licensees' existing rights -- such as deletion or modification of features, and/or the scope of and service of support provided – shall require Licensee’s written consent. Pricing and product title library are subject to change without notice.

d. No delay or failure of Licensor to take action under these Terms of Use will constitute a waiver by Licensor, unless expressly waived in writing by Licensor.

e. These Terms of Use constitute the complete agreement of the parties and supersede any prior written or oral agreement.

f. If any part of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall be interpreted so as to reasonably affect the intentions of the parties.

NEW DAY FILMS TERMS OF USE — AGREEMENT FOR STREAMING OF NEW DAY FILMS CONTENT ON CUSTOMER-CONTROLLED SYSTEMS (“IN-HOUSE” USE/DIGITAL SITE LICENSE)


Your use on your institution’s video streaming system of Content provided by New Day Films constitutes your acknowledgement of and agreement to the terms and conditions contained below (“Terms of Use”) between New Day Films (Licensor) and {customer_name} (Licensee). This document refers specifically to the purchase of an in-house license for streaming the following title: {film_name}


1. Definitions

a. Educational Use: use in markets including, but not limited to, high schools, colleges, universities, libraries, museums, hospitals, companies, and nonprofit organizations, and students’ use for study through high schools, colleges, universities and Distance Learning Programs.

b. Classroom Use: A performance of a program in classrooms or other related venues, for audiences of more than one person, conducted without charging admission. In this context, programs may be shown by any means which do not require digitization, transfer, alteration, duplication or reproduction.

c. Unified campus: A geographically discrete setting which constitutes the principal place of business of the licensee.

d. Distance learning: Specific coursework conducted via internet connection by students enrolled for this purpose through the campus of the licensee as defined above.

2. Grant of License

a. New Day Films grants to the Licensee a limited, non-exclusive, revocable license to use the Content (as defined below) for educational use. Any other use of this content must be licensed through special arrangement with the filmmaker.

b. Not permitted under this license are the right to rent, loan, sublease or sub-license content to others. Content may not be digitized, transferred, altered, duplicated or reproduced by any means without prior, written authorization of New Day Films and the filmmaker.

c. Films licensed for institutional use may only be shared within any single, geographically unified campus, and with distance-learning classes and students who are enrolled by the Licensee for study conducted through that campus. Sharing of streamed New Day content between two or more campuses, or with other institutions, or with individuals, classes or groups who are not specifically affiliated through employment or enrollment with the licensee, is not permitted without the express authorization of New Day Films.

d. This license is granted only upon payment of fees specified by or through New Day Films.

3. Copyright

a. All materials purchased from New Day Films including, but not limited to, video, audio, graphics, text, images, and interactive media ("Content") are the property of New Day Films or have been licensed to New Day Films, and are protected by international copyright and trademark laws. Licensee has no ownership of the Content.

b. In addition, the contents of this Web site, including but not limited to design, "look and feel," software code, text, images, audio, and audiovisual Content, are copyrighted, with all rights reserved by New Day Films © 2011.

4. Term

The term of this License Agreement shall be concurrent with the duration of the five-year license which starts on {licensed_date} and ends on {expiration_date}. Upon expiration, non-renewal, or any termination of the license, all of Licensee's rights to use the Content shall cease. All Content in all formats must be erased, deleted, or destroyed upon expiration or any termination of this Agreement. Failure by Licensee to delete all Content covered by this agreement at the end of the term or upon any termination of the license will be regarded as a violation of U.S. Copyright law and subject to legal action.

5. Representations and Warranties of the Licensor

All information, products and other content (including third party information, products and content) included in or accessible from New Day Films Content are provided "as is" and without warranties of any kind (express, implied and statutory, including but not limited to the warranties of title and noninfringement and the implied warranties of merchantability and fitness for a particular purpose), all of which New Day Digital disclaims to the fullest extent permitted by law. Licensee's use of the Content is at licensee's sole risk.

6. Representations and Warranties of the Licensee

a. Licensee warrants that all information provided is true and accurate. New Day may terminate Licensee’s rights to any or all service if any information Licensee provides is false or inaccurate.

b. Licensee agrees to provide adequate security for protection of Content from piracy, theft and any other misuse while Content is stored on systems controlled, owned, leased or otherwise contracted for use by the Licensee. Licensee further agrees to assume full responsibility under the copyright laws of the United States for failure to do so.

7. Governing Law

These Terms of Use are governed by the laws of the United States and, where no other state law is applicable, the State of New York, without giving effect to any principles of conflicts of laws.

8. Trademarks

NEW DAY FILMS and its logo belong to New Day Films and other marks belong to third party trademark owners. Except as permitted by applicable laws, Licensee is prohibited from using any of the marks appearing on this site without express written consent from their respective trademark owners.

9. Miscellaneous

a. Licensor reserves the right to refuse service and terminate accounts at its sole discretion, with or without cause, including, but not limited to, if Licensor believes Licensee's conduct violates applicable law or is harmful to Licensor.

b. Licensor's rights, including but not limited to all rights of remedy for Licensee's breaches under this Agreement, shall continue in perpetuity.

c. Licensor reserves the right to change, modify, add, or remove portions of these Terms of Use or this service at any time. Licensee's continued use of this site following the posting of any changes will mean that Licensee has accepted the changes. Licensor may add, delete, or modify features, titles, as well as the scope of service and support provided. Pricing, product features and specifications, and product title library are all subject to change without notice.

d. No delay or failure of Licensor to take action under these Terms and Conditions will constitute a waiver by Licensor, unless expressly waived in writing by Licensor.

e. These Terms of Use constitute the complete agreement of the parties and contain the entire understanding of the parties hereto relating to the Content, supersede any prior written or oral agreement or understandings between the parties with respect to the Content, and cannot be changed or terminated orally. Only a writing specifically referencing these Terms of Use and signed by the parties hereto may amend them.
